                                                                  STATUE

 

 

Article 1: Name

 

The name of the Association Etrangere is The Mouvement Ande Deferat Djikoyi ci Senegal ak Diasporabi Convergence pour le Changement des Comportement et l’Assainissement des Moeurs au Senegal et dans sa Diaspora,

referred to as “Foundation” hereon.

 

Article 2: Mission

 

The Foundation shall be to propagate Islam and serve as a common religious platform for all Muslims irrespective of their sects and religious affiliation.

 

Article 3: Objectives

 

The objectives of the Foundation shall be as follows:

 

To organize conferences/seminars conducted by Muslim scholars, with a view 

to educate people on Islam and Islamic behaviour and ways of life.

        

To develop a framework which will enable the Muslims youth to learn about

Islam and Q’uran.

 

To bring about more harmony among all segments of the Muslim population

living in Senegal and the Diapora, be it indigenous or immigrant.

 

To extend technical or material assistance to individuals or other entities in

situations approved by the Executive Board.

 

 To encourage savings among its members by the establishment of

 investment facilities in accordance with the Laws of the host country.

 

Article 4.: Membership.

 

4.1 Full Member: Any Muslim resident in Senegal and  the diapora who accepts to conform

With the Foundation’s objectives. An individual member shall be entitled for all rights including voting and holding an office.

 

4.2 Associate Member: Any Muslim living outside the diapora who

Accepts to conforms with the objective’s Foundation. An Associate member shall be entitled for all rights except voting and holding an office.

 

4.3 Honorary Member: The executive Board may grant honorary membership to

People who have rendered valuable contribution to the Foundation. Such shall be entitled to all privileges except voting and holding an office. 

 

4.5 All applications for membership shall be received by the Foundation’s

General Secretary who shall then present them to the Excecutive Board for approval.

             

4.6 Membership Dues: Each member shall pay monthly membership fees of US 

Dollars by the fifth day of each month.

The amounts of membership dues shall be as follows:

               -Full member:  US$10.00

               -Associate member due is left to the discretion of the member.

               

4.7 The Executive Board of the Foundation shall have the right to periodically     

determine whether the annual membership fees are sufficient for termination:

 

4.7.1. After proper notification in writing, the Executive Board shall terminate the membership of a person who is involved in activities which are not consonant with the Foundation’s objectives.

 

4.7.2. Membership may be reinstated after receipt of written apology by the person whose membership was suspended.

 

4.7.3. Charges of obstructing the objectives of the Foundation, professional  dishonesty, and/or ruining the social or professional  reputation of another member shall be filed in writing, signed by three voting members, and  submitted  to General Secretary. This process may be initiated by the Executive Board as well.

 

 4.7.4. The General Secretary shall notify, or cause to be notified, in writing such

member(s) upon whom charges have been brought in. Such member shall be entitled to request a grievance hearing to be convened by the Executive Board.

             

 4.7.5. Suspension or expulsion of a member from the Foundation shall require a majority vote by the Executive Board.

 

Article 5: The Executive Board.

 

5.1 The Foundation’s Executive Board shall be elected by the General Assembly 

For a period of three(5) years and shall be eligible for re-election for other terms. It shall consist of the Chairman, the Vice-Chairman, the Secretary General, the Secretary of Economic and Social Affairs, the Secretary of religious and educational affairs, and the Secretary for Legal Affairs and Promotional Activities.

 

5.2 The Executive Board shall meet once in three months. It shall establish the

Policies of the Foundation. Develop, execute, and supervise programs in line with the objectives of the Foundation. The Committee shall assist in securing membership and establishing chapters in major North American cities.

 

5.3 Any vacancy occurring within the Executive Board shall be filled for the

current term by a nomination. The position of the chairman, General Secretary, and Secretaries shall be filled by the Vice Chairman, Deputy General Secretary, and assistant Secretary.

A majority of the members of the Executive Board(four) shall constitute a quorum.

 

Article 6: Officers.

 

6.1 The Chairman: The foundation Chairman shall be the chief Executive Officer and the spokesman of the Foundation. He shall be elected by the Executive Board for a period of three years, renewable only once. He shall preside at the meeting of the Executive Board ,oversee all the affairs of the Foundation, execute all contracts, discharge all the duties incumbent upon a president officer, and perform such other duties as the Executive Board may designate from time to time.

 

6.2 Vice Chairman: He shall be elected by the board for a period of five years, and is eligible for election for a second term. He shall assist the chairman in the performance of his task in the event that the Office of the Chairman becomes vacant, or during the temporary absence or disability of the Chairman, and such other duties as the Chairman or Executive Board may designate from time to time.

 

6.3 The Advisory Board: An Advisory Board consisting of imminent personalities shall be elected by the President. The Advisory Board shall direct the activities of the Foundation.

 

6.4 The General Secretary: He shall be elected by the Executive Board for a period of three years, and is eligible for re-election for a second term. The general Secretary shall be the Administrative head of the Foundation’s Headquarters and shall oversee its day to day operation. He shall keep or cause to be kept, in a book designated for that purpose, an accurate and complete record of the proceedings of all meetings of the Executive Board and General Assembly, and shall perform like duties for all constituted committees. He shall keep, or cause to be kept, an accurate and complete record of all members of the Foundation. He shall coordinate relations between the Foundation and other organizations, as well as shall perform such other duties as the Executive Board may designate from time to time.

 

6.5 The Secretary for Economic and social affairs: He shall be elected by the Executive Board for a period of three years, and is eligible for re-election for a second term. He shall oversee all activities related to the investment of the funds in ventures, fundraising campaigns, technical assistance granted or executed by the Foundation. He shall work in close collaboration with the treasurer in expanding the financial resources of the Foundation.

 

6.6 The Secretary for legal affairs and Promotional activities: He shall prepare all Legal documents related to the incorporation and the status of the Foundation. He shall review all legal papers received or submitted to the Foundation. If necessary, he shall work with any attorney for carrying out his task.

 

6.7 The Treasurer: He shall be elected by the Executive Board for a period of

Three years, and is eligible for a second term. The Treasure shall be the custodian of the money, and other assets of the Foundation. The Treasure shall deposit all funds of the Foundation into an account or accounts in the name of the Foundation in a financial institution to be designated by the Executive Board. He shall keep, or cause to be kept, and accurate and complete record of such accounts, and shall furnish a financial report at meetings of the Executive Board. He shall issue, or cause to be issued, invoices and receipts for the payment of monthly dues and other incomes of the Foundation.

 

6.8 The Deputy General Secretary: He shall be elected by the Executive Board for a period of three years, and eligible for re-election for a second term. He shall assist the General Secretary in running the office. He shall succeed him in case of vacancy of that office. He shall also perform all duties incumbent upon the General Secretary during the temporary absence or disability of the latter, and shall perform such other duties as the Chairmen or the Executive Board may designate from time to time.

 

Article 7:The General Assembly.

 

7.1 The General Assembly consists of all members of the Foundation. Associate and Honorary members may attend its meetings as observers.

 

7.2 The Foundation shall call a meeting of the General Assembly once in a year.

Notice of such meetings shall be sent by the General Secretary o each member at least three weeks prior to the date of the meeting.

 

7.3  At its annual meetings, the General Assembly shall review the annual and financial reports of the Foundation submitted by the Executive Board.  The Executive Board may convene a special meeting of the General Assembly at any time. Notice of such meetings shall be sent to each  member By the General secretary at least three weeks prior to the date of that meeting.

 

The Quorum:

The quorum for regular or special meeting of the General Assembly of the Foundation shall be 20% of the voting members.
